Google Business Profile Verification Terms & Conditions

These Terms & Conditions (“Terms”) apply to Google Business Profile verification services provided by Ideal Digital Agency LLC (“Ideal Digital Agency”) to the client (“Client”).
These Terms supplement the Google Business Profile Verification Service Agreement signed by the Client. If there is a conflict between these Terms and the signed Service Agreement, the signed Service Agreement will control.
1. Services
Ideal Digital Agency assists businesses with Google Business Profile verification and related verification issues.
Depending on the Client’s individual situation and the services selected in the Service Agreement, assistance may include verification guidance, documentation review, video verification assistance, appeal assistance, profile review, communication strategy, Service Area Business review, and other agreed-upon verification assistance.
2. Results and Google Business Profile Decisions
Search engines, their algorithms, policies, verification procedures, and requirements change frequently and are outside Ideal Digital Agency’s control.
Ideal Digital Agency uses professional experience, Google’s published policies and best practices, and commercially reasonable efforts to assist the Client with the verification process.
Google independently determines verification methods, documentation requirements, eligibility standards, review procedures, processing times, and final decisions regarding Google Business Profiles. While Ideal Digital Agency will use its experience and best efforts to help maximize the likelihood of a successful verification, specific results or approval timeframes cannot be guaranteed.
3. Client Responsibilities
The Client agrees to:
• Provide complete, accurate, current, and truthful business information and documentation.
• Provide Ideal Digital Agency with appropriate administrative, manager, or other account access when reasonably necessary to assist with the Google Business Profile verification process.
• Maintain such access for the period reasonably necessary for Ideal Digital Agency to perform the agreed-upon services.
• Respond reasonably promptly when information, documentation, approvals, or Client action is required.
• Complete verification steps that Google requires the business owner or authorized representative to perform.
• Follow reasonable instructions and recommendations provided by Ideal Digital Agency during the verification process.
• Inform Ideal Digital Agency of communications, requests, decisions, or changes received from Google that may affect the verification process.
The Client is responsible for the accuracy and legitimacy of all information and documentation provided to Ideal Digital Agency or Google.
Ideal Digital Agency is not responsible for delays or adverse decisions resulting from inaccurate, incomplete, misleading, outdated, or fraudulent information supplied by the Client, failure to provide necessary access, or failure to complete required actions.
4. Client Authorization and Account Access
The Client represents that they are the owner of the business or otherwise legally authorized to act on behalf of the business and to authorize Ideal Digital Agency to assist with its Google Business Profile.
When reasonably necessary to perform the agreed-upon services, the Client authorizes Ideal Digital Agency to access, review, and assist with the Client’s Google Business Profile and related account information.
The Client remains the owner of and retains ultimate administrative control over the Client’s Google accounts and Google Business Profile.
5. Fees and Payment
The service fee is specified in the Client’s Google Business Profile Verification Service Agreement.
Unless otherwise stated in writing, payment is due upon signing and before work begins.
Because this is a professional service involving time, research, review, consultation, and assistance, payments are non-refundable once work has begun, except where otherwise required by law.
Additional work outside the services selected or described in the Service Agreement will not be performed or billed without the Client’s approval.
6. Scope of Services
Ideal Digital Agency will provide the services identified in the Client’s Service Agreement.
If circumstances arise that require services substantially outside the agreed scope, Ideal Digital Agency will discuss those circumstances with the Client before performing additional billable work.
No additional fees will be charged without the Client’s knowledge and approval.
7. Confidentiality
Both parties agree to use reasonable care to protect confidential or proprietary information exchanged during the engagement.
Confidential information may include nonpublic business information, account information, documentation, financial information, business records, internal procedures, credentials, and other information that reasonably should be understood to be confidential.
Confidentiality obligations do not apply to information that is publicly available through no violation of these Terms, was lawfully known before disclosure, is independently developed without use of confidential information, or must be disclosed by law.
8. Intellectual Property and Materials
Ideal Digital Agency retains ownership of its pre-existing and independently developed processes, methodologies, checklists, playbooks, templates, training materials, educational content, and other proprietary materials used in connection with its services.
Materials provided by Ideal Digital Agency to the Client are intended for the Client’s own personal or internal business use unless otherwise stated in writing.
Ideal Digital Agency’s proprietary materials may not be resold, republished, commercially redistributed, sublicensed, or represented as another person’s or company’s original work without written permission from Ideal Digital Agency.
The Client retains ownership of information, documents, trademarks, photographs, and other materials supplied by the Client.
9. Limitation of Liability
To the fullest extent permitted by applicable law, Ideal Digital Agency LLC and its owners, employees, contractors, consultants, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost business opportunities, lost data, or loss of goodwill arising from or related to the services.
To the fullest extent permitted by applicable law, the total aggregate liability of Ideal Digital Agency arising from the verification engagement will not exceed the amount actually paid by the Client to Ideal Digital Agency for the services giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.
10. Electronic Communications and Signatures
The Client agrees that agreements, approvals, invoices, notices, communications, and signatures may be transmitted or accepted electronically.
Electronic signatures and electronic acceptance will have the same effect as paper signatures to the extent permitted by applicable law.
11. Governing Law
These Terms and the associated Service Agreement will be governed by the laws of the State of Florida, without regard to conflict-of-law principles.
12. Severability
If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.
13. Entire Agreement and Changes
These Terms, together with the Client’s signed Google Business Profile Verification Service Agreement and any mutually approved written modifications, constitute the agreement between Ideal Digital Agency and the Client concerning the verification services.
Any material change to the agreed scope of services or fees must be approved by both parties in writing.
Ideal Digital Agency may update these Terms & Conditions periodically. Changes will apply prospectively from the effective date posted on this page and will not retroactively alter previously agreed Client-specific contractual obligations unless agreed to by the affected parties.
